This Agreement is made between Mymee Inc., a Delaware corporation (the "Company,” “us” or “we”), and the participant (“you”).
A. The Company is in the business of developing and delivering evidence-based programs to reduce, eliminate or manage symptoms of autoimmune disorders.
B. You have indicated that you wish to participate in our program (the “Program”). Intending to be legally bound, you and we agree:
1. Objectives.
The objective of the Program is to improve your health by identifying triggers that worsen your autoimmune symptoms and supporting you to make lifestyle changes to avoid these triggers.
Over a 16-week period (the “Program Period”), you will use our proprietary smartphone app (the “Mymee App”) to track your intake of food and beverages, and up to 10 symptoms, triggers, supplements, and other lifestyle interventions as they occur to provide us accurate real-time information. In addition, you will have weekly scheduled telephone sessions with one of our health coaches who is trained to deliver the Program.
2. Our Obligations.
We agree to deliver the program described in this Agreement (the “Program”) to you on the terms and conditions set forth herein.
(a) Eligibility. Your eligibility to participate in the Program depends upon the information you provide to us about your health condition, the results of your 2- day data tracking and our belief that you are likely to benefit from the Program.
(a.i) We retain the right to decline to enroll you in the Program for any reason, including but not limited, to our assessment that the Program will not result in your improvement, or your participation in other studies or treatments that may conflict with the Mymee protocol.
(a.ii) If we determine that you are not eligible for the Program, we will notify you by telephone or email and this Agreement will automatically terminate.
(b) Confidentiality and Privacy. All personal information that you transmit through the Mymee App or communicate to your health coach will be treated as confidential in accordance with applicable state and federal laws governing the maintenance of personally identifiable information.
We will not release any of your personal information unless you authorize release of your records in writing.
(c) Data Protection. We take reasonable technical, physical and administrative measures, such as passwords and encryption software, to protect the security of your personal information.
(d) Right to Use the Mymee App. We grant you a personal, non-exclusive, non- transferable license to use the Mymee App for the one-year period commencing with the date of this Agreement.
3. Your Obligations.
(a) Terms and Conditions. You acknowledge that you have received and reviewed the terms of this Agreement, the description of the Program and its Policies on Exhibit A, including the Program’s objectives, your required tracking activities, your use of the Mymee App, the number and length of coaching sessions making up your Program, your obligations as a client and how you can maximize the benefits of the Program.
(b) Your Questions Have Been Answered. You acknowledge that you have had the opportunity to ask questions about the Program and have received satisfactory answers to your questions prior to signing this Agreement. You understand and accept the terms of this Agreement.
(c) Accurate Information. You agree throughout the Program to provide us with timely and accurate information about your symptoms, medical history, current medications and supplements, past illnesses, allergies and hospitalizations. You agree to promptly inform your health coach and your physician if your symptoms worsen. IN THE EVENT OF A LIFE THREATENING EMERGENCY, YOU AGREE TO CALL 911 OR YOUR PHYSICIAN.
(d) Medical Approval. You certify to us that you have consulted your physician about your participation in the Program and your physician has not advised against your doing so. If you are currently using prescription medications or dietary supplements, you agree to discuss any changes to such medications and/or dietary supplements with your doctor. You agree not to discontinue any prescription medications (other than those your doctor has prescribed to be taken “as needed”) without the approval of your doctor.
(e) Tracking. You understand that accurate tracking and consistent participation in health coaching sessions are critical to successfully identifying your triggers. You agree to download the Mymee App on your smartphone and use it for tracking throughout your Program. You agree to follow your tracking protocol on a consistent, “real-time” basis as instructed by your health coach. You understand and agree that you must complete at least two consecutive days of tracking on the Mymee App before we schedule your initial coaching call.
(f) Coaching Sessions; Completion. You will receive weekly coaching sessions during the 16 week period (the “Program Period”) after your onboarding email. If hospitalization interferes with your participation in the Program, we may extend your Program Period and resume your coaching sessions when it is practicable for you to do so, subject to our ability to schedule coaching sessions for you
(g) Our privacy policy is set out at https://www.mymee.com/privacy-policy/. You certify to us that you have read our privacy policy. You understand that despite our security procedures we cannot guarantee the security of information sent through or stored on the internet. You accept the risks inherent in the use of the internet.
(g.i) You understand and agree that, subject to privacy protections, information relating to your case may be shared within the Company and with other third parties for quality control, program development, education and training.
(g.ii) You understand and agree that your outcomes may be shared on an anonymized basis at meetings and/or in publications.
(h) Questionnaires. You understand that since our Program is evidenced-based, capturing information about the impact of the Program on clients is essential to enable us to continue to refine the effectiveness of the Program for others suffering from autoimmune disorders. Therefore, you agree to complete demographic and/or health information at the beginning, during and at the end of the Program in a timely and accurate manner.
(i) Scope: You understand that your health coach is not a doctor, licensed dietician, licensed nutritionist or psychologist and that health coaching does not involve the diagnosis or treatment of any disease [or mental disorder]. You understand that health coaching is not a substitute for medical care, mental health care or substance abuse treatment and you will not use the Program in place of any form of diagnosis, treatment or therapy.
(j) Relationship Boundaries. You agree to treat your health coach with professional courtesy.
(k) Electronic Signature. You are signing this Agreement electronically. Your electronic signature has the same effect as your handwritten signature on paper. You are responsible to notify us by email or through the Mymee App if you want us to change your contact information.
4. NO WARRANTY; RELEASE FROM LIABILITY. YOU UNDERSTAND AND AGREE THAT ALTHOUGH THE PROGRAM IS HIGHLY EFFECTIVE FOR MANY PEOPLE, THERE CAN BE NO ASSURANCE THAT IT WILL ENABLE YOU TO ACHIEVE ANY PARTICULAR PHYSICAL OR HEALTH RELATED OBJECTIVES. YOU HEREBY RELEASE AND DISCHARGE THE COMPANY, ITS OFFICERS, DIRECTORS, STOCKHOLDERS, AGENTS AND REPRESENTATIVES (INCLUDING WITHOUT LIMITATION, YOUR HEALTH COACH) FROM ANY AND ALL CLAIMS, SUITS, DAMAGES, DEMANDS, ACTIONS AND CAUSES OF ACTION RELATING TO THE PROGRAM.
5. Program Fee and Payment.
The fee for participating in the Program is covered in full by your employer.
6. Successors and Assigns.
This Agreement shall be binding upon and inure to the benefit of the parties hereto and their respective heirs, if any, successors and assigns.
7. Choice of Law.
This Agreement is governed by the laws of the State of Delaware.
8. Waiver.
A waiver by one party hereto of a breach of any provision of this Agreement by the other shall not operate as a continuing waiver of that or any subsequent breach of this Agreement.
9. Notice.
Any and all notices or other communications (other than tracking, scheduling and coaching calls) required or desired to be given hereunder by any party shall be in writing and shall be validly given or made to the other party if personally served, or if deposited in the United States mail, certified or registered, postage prepaid, return receipt requested or by facsimile or e-mail with electronic verification of receipt by the sender. If such notice, demand or other communication is given by mail, such notice shall be addressed to the party to whom such notice, demand or other communication is sent at the address set forth on the signature page. Any party hereto may change its address for purposes of this paragraph by written notice given in the manner provided above.**
10. Modification or Amendment.
No amendment, change or modification of this Agreement shall be valid unless in writing signed by the parties hereto.
11. Entire Understanding.
The exhibit[s] to this Agreement constitute an integral part of this Agreement as if fully set forth herein. This Agreement and its Exhibit[s] are the entire understanding and agreement of the parties, and any and all prior agreements, understandings and representations have no force or effect.
12. Unenforceability of Provisions.
If any provision of this Agreement or any portion thereof is held to be invalid and unenforceable, then that provision shall be deemed to be deleted from this Agreement and the remainder of this Agreement shall nevertheless remain in full force and effect.
IN WITNESS WHEREOF the undersigned have signed this Agreement as of the day and year set forth below. The parties hereto agree that facsimile signatures shall be as effective as if originals.
You will receive email with instructions for getting started, login credentials for the Mymee App and a “Help” link for the onboarding process (the “Onboarding Email”).
Instructions for getting started with tracking in the Mymee App will be included in your Onboarding Email.
We will use reasonable efforts to assign a health coach to you within 24 hours after receiving your initial 2 days of tracking data.
Your health coach will call you on the telephone number you provide for each scheduled coaching session.
Your initial coaching call will be approximately 50-minutes in duration. The focus of your coaching calls will be to identify your triggers, their effects on your symptoms, your ease with using the Mymee App and other topics related to the Program. After your initial coaching call, you will have weekly coaching calls of up to 30 minutes each for rest of your Program. We recommend you continue with the Program during vacations and holidays.
Coaching calls will be recorded but kept confidential.
After your initial coaching call, your health coach will develop a tracking protocol specifically tailored to you and will work with you to develop your skills in consistent tracking, and symptom and trigger management. Your health coach will change your tracking protocol as you progress through the Program.
If you notify us at info@mymee.com that you believe in good faith that you and your health coach are not compatible, we will make reasonable efforts to assign a new health coach to you.
Throughout the Program you will use the Mymee App to track the foods and beverages you consume at every meal and snack, as well as up to 10 symptoms and potential triggers. You understand that it is ESSENTIAL that you track your intakes and symptoms on a consistent basis close to the moment they occur (“real-time”). Your coach will support you to make tracking a habit. If you have technical difficulties with the Mymee App, contact your health coach.
As space in our Program is limited, we prioritize clients who are motivated to get the most benefits possible. Clients’ results in the program also affect our ability to expand our services to others. We reserve the right to terminate your participation in the Program if: (i) you have not completed the Program within the Program Period, (ii) your participation in tracking or coaching sessions is not consistent enough to enable you to make improvement, or (iii) you fail to try the recommended lifestyle or environmental changes and maintain those that create improvement.
The following policies were designed to enhance the likelihood that the Program will be effective for you.
Timely Tracking is Essential.
Track your information consistently throughout the day on the Mymee App as intakes, events or symptoms occur. The Mymee App automatically time stamps your tracking data. Accurate data collection and time stamps are crucial to the effectiveness of the Program for you.
Realistic Expectations.
The Program has been made as easy and efficient as possible, but it requires your active participation and openness to trying new behaviors. You should have realistic expectations about what the Program can do for you and the importance of your active participation in it.
Rescheduling and Make Up Sessions.
Your coaching sessions are critical to your progress. If you need to reschedule a coaching session you must notify your health coach at least 24 hours in advance through the Mymee App or by email.
Proactive Communication.
You are encouraged to be proactive in communicating with your health coach, including asking any questions and communicating about any health or Program issues that arise.
Preparation and Punctuality.
Your health coach will call you on the telephone number you provide to us for each coaching session. You agree to be on time in a quiet location for your coaching sessions and be at your phone 5 minutes prior to the time of your scheduled appointment. Coaching calls may not be taken while driving.
